Section 1 – Scope and provider
(1) These Terms of Service (“Terms”) govern the use of the Discord bot “NVX Nexus”, this website and the associated web dashboard (collectively, the “Service”).
(2) The Service is provided by [Name / company missing], Germany (hereinafter the “Provider”).
(3) The Acceptable Use Policy, which sets out the rules of conduct for using the Service, also applies. Any conflicting terms of users do not apply.
Section 2 – Description of the Service
(1) The Service provides Discord servers with features for managing and entertaining their community, in particular: music playback (library, internet radio, audio links), welcome messages with banners, verification and role assignment, role menus, a ticket system, an event log, backups of the server structure, and notifications about livestreams and new posts on third-party platforms. It is controlled via slash commands and a web dashboard.
(2) The Service does not itself provide any music or other media content; it processes content selected by users. Each user is solely responsible for such content (Section 6).
(3) Notifications rely on the APIs of the respective third-party providers. If they change or restrict their APIs, the affected feature may be discontinued in whole or in part.
(4) Backups save the structure of a server (roles, channels, permissions, settings), but not messages. Restoring a backup adds and adjusts items but does not delete any existing channels or roles. A complete restoration cannot be guaranteed in every case, for example if Discord does not permit certain settings.
(5) The Provider may expand and change the scope of features at any time. Material restrictions of Premium features during an active subscription will only be made for good cause (e.g. changes at Discord or third-party providers).
Section 3 – Formation of contract and eligibility
(1) A user relationship for the free version is established when a server administrator adds the bot to a Discord server, or when a user uses a bot command or the dashboard.
(2) Use requires a valid Discord account. Discord's Terms of Service and Community Guidelines also apply, in particular their age requirements.
Section 4 – Free version and availability
(1) The core features are provided free of charge within the limits stated on the Premium page. There is no entitlement to free use.
(2) The Provider strives to keep the Service running as smoothly as possible but does not guarantee any particular level of availability. Interruptions, for example due to maintenance, updates or outages at Discord or third-party providers, may occur.
(3) Uploaded files, settings and backups are stored without warranty. Users should keep their own copies of important data; backups can be downloaded in the dashboard.
Section 5 – Premium
(1) Premium is a paid subscription that unlocks extended limits and additional features for one Discord server at a time. The current scope is described on the Premium page.
(2) Premium is purchased exclusively through Discord's app subscriptions. Price, term and renewal are shown in Discord before purchase. Payment processing, invoicing, cancellation, withdrawal and refunds are governed by Discord's terms for paid services; Discord is the point of contact for these matters.
(3) The subscription can be canceled at any time in Discord. Premium remains active until the end of the paid period. After that, the limits of the free version apply; settings and backups are retained, and features above the free limit are paused.
(4) The Provider may also unlock Premium for individual servers without a subscription (e.g. for partners). This does not create any entitlement to a permanent unlock.
(5) If Premium is suspended due to a violation of these Terms or the Acceptable Use Policy, there is no entitlement to a refund from the Provider, to the extent permitted by law.
Section 6 – User content
(1) Users may only upload, play or link content (audio files, images, links, feeds) for which they hold the necessary rights or whose use is otherwise permitted. This also applies to playback to other members of a Discord server.
(2) By uploading content, the user grants the Provider a simple (non-exclusive), royalty-free right, limited to the duration of storage, to store the content and play it back via the Service, to the extent necessary to provide the Service.
(3) Server operators are responsible for using the modules in compliance with data protection law, in particular for informing their members about active logging and ticket transcripts.
(4) The user shall indemnify the Provider against any third-party claims asserted on the basis of a culpable infringement of third-party rights by content provided by the user, including reasonable costs of legal defense.
Section 7 – Liability
(1) For the free version, the Provider is liable only for intent and gross negligence.
(2) For Premium, the Provider is liable without limitation for intent and gross negligence. In cases of simple negligence, the Provider is liable only for breaches of material contractual obligations (obligations whose fulfillment is essential to the proper performance of the contract and on whose observance the user may regularly rely), limited to the foreseeable damage typical for this type of contract.
(3) Liability for damages arising from injury to life, body or health, for fraudulently concealed defects and under the German Product Liability Act (Produkthaftungsgesetz) remains unaffected.
(4) The Provider assumes no liability for content that users upload, play or link, or for content from third-party providers. For loss of data, the Provider is liable only up to the amount of effort that would have been required to restore the data had the user regularly backed it up themselves.
Section 8 – Suspension and termination
(1) Users may stop using the Service at any time; server administrators in particular by removing the bot from their server. An active Premium subscription must be canceled separately in Discord.
(2) The Provider may discontinue the free version at any time, either entirely or for individual servers. In the event of violations of these Terms or the Acceptable Use Policy, the Provider may remove content and exclude individual users or servers from using the Service.
Section 9 – Changes to these Terms
(1) The Provider may amend these Terms with effect for the future. The current version is always available on this page.
(2) Changes affecting active Premium subscriptions will be announced at least four weeks before they take effect (e.g. on this website or the Support Server). Anyone who does not agree may cancel their subscription before then.
Section 10 – Final provisions
(1) These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, this choice of law applies only insofar as it does not deprive them of the protection afforded by mandatory provisions of the law of the country in which they have their habitual residence.
(2) Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected.
